BrokerFi + Marketplace Terms of Agreement
PARTIES AND SERVICE
BrokerFi + is a trading name of BrokerFi Pty Ltd (ABN 97 693 051 160). BrokerFi + operates a lead marketplace that distributes finance enquiries, including consumer and commercial finance enquiries, to verified licensed broker organisations.
ELIGIBILITY AND VERIFICATION
The organisation must hold an Australian Credit Licence or be an authorised credit representative of a licensee, and must provide accurate business details for verification. The organisation must notify BrokerFi + immediately if its licence or authorisation status changes or lapses. BrokerFi + may withhold or revoke verification at its discretion.
TOKENS
Tokens are the platform's prepaid unit of account and have no value outside the platform. Paid tokens are purchased at the published rate. Bonus tokens are promotional, are not purchased, and hold no monetary value. Tokens are non-transferable between organisations. Charges are deducted from paid tokens first, then bonus tokens.
LEAD PRICING AND CHARGES
Lead prices vary by loan type and quality tier. The current price for each loan type and tier, including any application upgrade fees, is published in your Marketplace Settings and on the Buy Tokens page, and may change from time to time. Leads are charged at the moment of assignment.
APPLICATION UPGRADE CHARGES
If a customer completes a full online application after their enquiry, the organisation that owns that lead is charged an additional application upgrade fee on top of the original lead price. The upgrade fee varies by loan type and quality tier and is published in your Marketplace Settings and on the Buy Tokens page. This charge is automatic, applies without further notice, and cannot be declined or opted out of. Full application details are delivered to the organisation at the same moment the charge is applied.
LEAD EXCLUSIVITY AND OWNERSHIP
Each lead is sold exclusively to one organisation and is not sold to any other party. The purchasing organisation must not resell, share, transfer, or otherwise distribute leads or lead data to any third party. Leads must only be used by the purchasing organisation for the purpose of providing credit assistance to that customer.
NO GUARANTEE OF QUALITY, VOLUME OR OUTCOME
Lead information, including any information about a customer's credit position, is self-declared by the customer and is not verified by BrokerFi +. BrokerFi + makes no guarantee as to the accuracy of self-declared information, the contactability of any customer, lead volume, lead availability, conversion rates, or settlement outcomes. Self-declared information later proving inaccurate is not grounds for a refund.
REFUNDS OF TOKEN BALANCES
An organisation may request a refund of its unspent paid token balance. Refunds are available on paid tokens only. Bonus tokens are not refundable and hold no monetary value. Refunds are subject to a 10% administration fee and are paid within 14 days of an approved request. Tokens already spent are not refundable.
DISPUTED LEADS
An organisation may dispute a lead as fake within 48 hours of delivery, using the reasons available in the platform. Approved disputes are credited back in the same proportion of paid and bonus tokens originally charged. Inability to contact a customer, a customer changing their mind, and self-declared information proving inaccurate are not valid grounds for a dispute. Disputes are reviewed by BrokerFi + and its determination is final.
MISUSE OF THE DISPUTE PROCESS
Repeated invalid or unsubstantiated dispute requests may result in an organisation's dispute rights being restricted, its marketplace access being suspended, or its account being terminated. BrokerFi + monitors dispute rates across all organisations.
DISTRIBUTION AND FAIRNESS
Leads are distributed by an automated round robin within each tier, based on each eligible organisation's settings, caps, balance and position in that tier's rotation. BrokerFi Pty Ltd's own brokerage participates in the marketplace on identical terms with no priority. BrokerFi + does not manually allocate individual leads.
ACCOUNT BALANCE AND SUSPENSION
Where an application upgrade charge exceeds an organisation's available balance, the balance may go negative by that single charge. While a balance is negative, the organisation is automatically switched off and receives no further leads until the balance is positive. The negative amount is settled from the organisation's next token purchase.
COMPLIANCE OBLIGATIONS OF THE ORGANISATION
The purchasing organisation is solely responsible for its own compliance when contacting and dealing with customers, including under the National Consumer Credit Protection Act 2009, the Privacy Act 1988, the Spam Act 2003, and Do Not Call Register requirements. The organisation is responsible for its own responsible lending obligations and credit assistance conduct. The organisation is responsible for all communications initiated through the platform, including any automated or AI-initiated messages it enables, and must ensure it has the necessary consents and complies with all applicable laws and codes before such messages are sent. The organisation is responsible for its own third-party messaging and email provider accounts (for example, Twilio, ClickSend or Resend) and for complying with those providers' terms and all applicable laws. BrokerFi + provides enquiries only and does not provide credit assistance in respect of leads sold.
RIGHTS OF BROKERFI +
BrokerFi + may: suspend or terminate an organisation's access where these terms are breached, where licence or authorisation status lapses, or where conduct risks consumer harm or the integrity of the platform; amend pricing, tiers, and these terms on reasonable written notice to organisations, with continued use after the notice period constituting acceptance; and review and determine lead disputes. Where an account is terminated other than for breach, any unspent paid token balance is refundable in accordance with clause 8.
LIABILITY
To the extent permitted by law, BrokerFi + is not liable for indirect or consequential loss, including loss of profits or business opportunity arising from lead quality, contactability, or platform availability. Nothing in these terms excludes rights that cannot lawfully be excluded, including under the Australian Consumer Law.
GOVERNING LAW
These terms are governed by the laws of Victoria, Australia.
CHANGES TO THESE TERMS
BrokerFi + may update these terms. Organisations will be notified of material changes and asked to accept the updated version.
INDEMNITY
The organisation indemnifies BrokerFi Pty Ltd and its officers, employees and agents against all claims, losses, damages, costs and expenses (including legal costs on a solicitor-client basis) arising out of or in connection with: (a) the organisation's use of the platform or any lead; (b) any breach of these terms by the organisation; (c) the organisation's conduct in contacting or dealing with any customer, including any automated or AI-initiated communication; (d) any failure by the organisation to comply with its legal or regulatory obligations; or (e) any claim by a customer or third party in relation to the organisation's handling of a lead. This indemnity survives termination of these terms.
ACCEPTABLE USE AND NO CIRCUMVENTION
The organisation must not: (a) resell, share, transfer or distribute leads or lead data to any third party other than its own authorised representatives for the purpose of providing credit assistance to that customer; (b) use leads for any purpose other than providing credit assistance to the relevant customer; (c) attempt to contact or deal with a customer outside the platform for the purpose of avoiding marketplace charges or fees; (d) circumvent, or attempt to circumvent, the marketplace, its charging mechanisms, or its distribution rules; (e) use the platform in any manner that is unlawful, misleading or deceptive, or that risks consumer harm or the integrity of the platform; or (f) misuse the dispute or refund processes. BrokerFi + may suspend or terminate access for any breach of this clause.
